Software License Agreement

ENTERTAINMENTVISTA STUDIO SOFTWARE LICENSE AGREEMENT

This Software License Agreement ("Agreement") governs your use of EntertainmentVista Studio software products, including but not limited to EntVista Hub, Metrixel, and related tools (collectively, the "Software").

IMPORTANT: BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SOFTWARE.

GRANT OF LICENSE EntertainmentVista Studio grants you a limited, non-exclusive, non-transferable license to use the Software in accordance with this Agreement and all applicable laws.
PROHIBITED ACTIVITIES You agree NOT to use this Software to:

a) Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying structure of any third-party products or services;

b) Create, train, test, or improve any machine learning algorithms or artificial intelligence systems using third-party proprietary content, data, or outputs without proper authorization;

c) Recreate, replicate, or attempt to recreate any third-party products, services, or functionality without proper licensing;

d) Use third-party proprietary content, data, or intellectual property in any way that violates their terms of service or intellectual property rights.
AI/ML USAGE RESTRICTIONS a) You may use this Software for legitimate AI/ML training purposes ONLY with content that you own or have proper rights to use;

b) You are solely responsible for ensuring all training data and content used with this Software does not infringe on any third-party intellectual property rights;

c) You must not use any third-party proprietary content, outputs, or data as training material for AI/ML models without proper authorization;

d) You must verify and document the licensing and ownership of all content used with this Software.
CONTENT AND DATA USAGE a) You are solely responsible for ensuring all input content (3D models, images, textures, animations) used with this Software is properly licensed and does not infringe on any third-party rights;

b) You must not use copyrighted material without proper authorization;

c) You must respect all intellectual property rights of third parties;

d) EntertainmentVista Studio is not responsible for any copyright or intellectual property violations resulting from your use of unlicensed content.
PROHIBITED USES You may NOT use this Software to: a) Violate any applicable laws or regulations; b) Infringe on any third-party intellectual property rights; c) Create or distribute malicious software; d) Attempt to circumvent any security measures; e) Use the Software for any illegal or unauthorized purpose; f) Reverse engineer the Software itself (except as permitted by applicable law); g) Remove or modify any copyright notices or proprietary markings.
USER RESPONSIBILITIES a) You must comply with all applicable laws and regulations; b) You must respect all third-party intellectual property rights; c) You must ensure all content used with the Software is properly licensed; d) You must report any suspected compliance violations to EntertainmentVista Studio; e) You must maintain the confidentiality of any account credentials or access codes.
PRIVACY AND DATA PROTECTION a) EntertainmentVista Studio respects your privacy and handles your data in accordance with our Privacy Policy; b) You consent to the collection, processing, and storage of data necessary for the operation of the Software; c) You are responsible for ensuring any personal data you process using the Software complies with applicable data protection laws; d) EntertainmentVista Studio implements appropriate security measures to protect your data.
INTELLECTUAL PROPERTY RIGHTS a) The Software and all related intellectual property rights remain the exclusive property of EntertainmentVista Studio; b) This Agreement does not grant you any rights to EntertainmentVista Studio's trademarks, logos, or other intellectual property; c) You may not use EntertainmentVista Studio's intellectual property without written permission; d) Any feedback, suggestions, or improvements you provide may be used by EntertainmentVista Studio without compensation.
DISCLAIMER OF WARRANTIES THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. ENTERTAINMENTVISTA STUDIO DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTERTAINMENTVISTA STUDIO SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THIS AGREEMENT.
INDEMNIFICATION You agree to indemnify and hold harmless EntertainmentVista Studio from any claims, damages, or expenses arising from your use of the Software, including but not limited to violations of third-party intellectual property rights.
TERMINATION This Agreement is effective until terminated. EntertainmentVista Studio may terminate this Agreement immediately if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
COMPLIANCE MONITORING EntertainmentVista Studio reserves the right to monitor compliance with this Agreement and may take appropriate action, including termination of access, for violations.
GOVERNING LAW This Agreement is governed by the laws of Singapore, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Singapore.
SEVERABILITY If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
ENTIRE AGREEMENT This Agreement constitutes the entire agreement between you and EntertainmentVista Studio regarding the Software and supersedes all prior agreements and understandings.
MODIFICATIONS EntertainmentVista Studio reserves the right to modify this Agreement at any time. Continued use of the Software after modifications constitutes acceptance of the updated terms.
FORCE MAJEURE Neither party will be responsible or have any liability for any delay or failure to perform to the extent due to unforeseen circumstances or causes beyond its reasonable control, including acts of God, earthquake, fire, pandemic, flood, sanctions, embargoes, strikes, lockouts or other labor disturbances, civil unrest, unavailability or delay of suppliers or licensors, riots, terrorist or other malicious or criminal acts, war, failure or interruption of the internet or third party internet connections or infrastructure, power failures, acts or orders of civil and government authorities and severe weather ("Force Majeure"). The affected party will give the other party prompt written notice (when possible) of the failure to perform and use its reasonable efforts to limit the resulting delay in its performance.

By using this Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement and all applicable laws and regulations.
